VESTERI COLLECTIVE RULES
Membership, listing publication and Vesteri Channels rules
Version 2.2 · Effective from: 28 October 2026 · Operator: Time2Show, Inc.
§ 1. General provisions
1. Vesteri Collective (the “Collective”) is a community of independent real estate agents and agencies operated by Time2Show, Inc. (Delaware, USA), 1111B S Governors Ave STE 20579, Dover, DE 19904, USA, under the Vesteri brand (“Vesteri”). Contact for Collective matters: collective@vesteri.com.
2. These Rules govern membership, listing standards and use of Vesteri Channels. The Vesteri system at vesteri.estalara.com (the “System”), including Vesteri Market, is also subject to separate Platform Terms. These Rules apply to membership and Vesteri Channels.
3. These Rules are addressed to businesses operating as real estate agents or agencies. Relations with buyers and sellers are governed by the applicable service terms and agreements made directly with the agent.
4. A Member is an agent or agency that has created a System account and accepted these Rules. An Approved Agent is a Member whose account has also been verified for listing publication. Vesteri Market is the public part of the System presenting Approved Agents’ listings. Vesteri Channels is the Members’ space for communication, learning and exchanging experience.
§ 2. Accounts, membership and listing publication
1. Independent agents and agencies, including those starting out, may create accounts, subject to the laws of their market. Registration information must be truthful and current.
2. Account creation is free. After registration, Vesteri manually emails a Vesteri Channels invitation to every agent at the address associated with the account. Invitations are not generated automatically and no specific delivery time is guaranteed.
3. Publishing listings requires separate account approval. Vesteri reviews identity, business activity, locally required licences, registrations or insurance (in Poland: professional liability insurance), and acceptance of the standards. It may request documents and refuse publication approval. Channels access does not depend on completion of this verification.
4. Members retain their own brands and direct client relationships. They independently agree services and fees with their clients. Membership does not create exclusivity, a franchise, partnership, employment or authority to act for Vesteri or other Members.
5. Members must promptly update their details and inform Vesteri of loss of required qualifications or insurance and professional disciplinary or criminal proceedings. Publication approval may only be represented after that status has been granted.
§ 3. Fair Play & Trust principles
1. Accurate listings: Approved Agents publish only properties they are authorised to market, using truthful, current information and materials. Unavailable listings must be withdrawn within 3 business days.
2. Transparent representation: each listing identifies the responsible agent. Agents clearly tell clients whom they represent, the service scope and fees.
3. Respect for clients: no pressure, concealment of material facts or promises about investment returns, timing or financing that the agent cannot keep.
4. Fairness and confidentiality: Members protect client data and documents, respect other Members and fulfil their own obligations to clients.
5. Legal compliance: Members comply with brokerage, AML, consumer protection, data protection and intellectual property requirements in every market where they operate.
§ 4. Vesteri Channels
1. Channels supports professional conversation, learning, questions and the exchange of information and experience. Members use their own accounts and must not share invitations or access with unauthorised persons.
2. Considerate discussion, respect and factual communication are required. Spam, harassment, discrimination, impersonation and content published without the required rights are prohibited.
3. Do not post identifying client data or confidential documents. Professional examples should be anonymised. Information and materials from the closed community may not be redistributed outside it without authorisation.
4. Authors are responsible for their materials and statements. Members’ opinions and experience do not constitute Vesteri’s position or individual legal, tax or investment advice.
5. Vesteri moderates the community and may remove content that breaches the rules and restrict access under § 8. It does not guarantee a particular number of resources, events, replies or outcomes from participation.
6. Membership does not require cooperation on transactions or any particular commission split. Members who choose to cooperate agree the terms independently. Examples of splits presented by Vesteri are non-binding suggestions; no default split applies without agreement between the parties.
§ 5. International properties
1. Vesteri Market may include selected international developments presented by Vesteri or its partners under separate agreements.
2. The agent named on the listing provides details of the project, available materials and viewings. Services and purchase terms are agreed for the individual property.
3. Before buying, independently check the property’s legal and technical condition and the reliability of transaction parties. Vesteri Market presence does not guarantee project completion or financial performance.
§ 6. Fees
1. Account creation, membership, Vesteri Channels access, standard listing publication and core System features are free. Publishing listings requires account approval.
2. Premium features are charged under the price list available in the Member account, per use or by subscription. Price changes are announced 30 days in advance.

4. Extracting or using other Members’ data beyond authorised community purposes, particularly for unsolicited marketing, is prohibited.
§ 8. Breaches, suspension and exclusion
1. A breach of these Rules may be reported to Vesteri at collective@vesteri.com with a description and evidence. Vesteri may also open proceedings on its own initiative.
2. Procedure: Vesteri presents the allegations to the Member; the Member has 7 days to respond; Vesteri issues a reasoned decision within 14 days of receiving the response or of the deadline passing.
3. Measures applied proportionately to the severity of the breach: warning; obligation to remedy; content removal or Channels access restrictions; suspension of listing publication or of membership for up to 90 days; exclusion.
4. Exclusion applies in the case of a serious breach (in particular: fraud, breach of confidentiality, knowingly misleading a buyer, loss of professional licence) or breaches repeated despite a warning.
5. Where a Member’s continued activity threatens harm to buyers or the network, Vesteri may suspend the Member with immediate effect for the duration of the proceedings.
6. A decision may be appealed within 14 days and is decided within 30 days. While the Collective has no more than 100 Members, appeals are decided by the Board of Directors of Time2Show, Inc. Once the Collective exceeds 100 Members, a Collective Committee is appointed and takes over deciding appeals. The appeal decision is final within the Collective and does not exclude recourse to the courts.
§ 9. Term and termination of membership
1. Membership is concluded for an indefinite period.
2. A Member may resign at any time by notice given in the System or by e-mail.
3. Vesteri may terminate membership on 30 days’ notice without giving reasons, and with immediate effect in the cases set out in § 8.
4. Upon termination the Member’s listings are removed from Vesteri Market and the right to use the designation "Member of Vesteri Collective" expires. Access to Vesteri Channels ends.
§ 10. Liability
1. Vesteri provides technology, marketing and organisational services. It is not a party to brokerage agreements, sale agreements or settlements between Members and does not verify the legal or technical condition of properties published by Members.
2. Vesteri does not guarantee any number of enquiries, transactions or revenue.
3. Vesteri’s liability to a Member is limited to actual loss, excluding lost profits, up to the amount of fees paid by the Member in the 12 months preceding the event; the limitation does not apply to loss caused intentionally.
4. A Member is responsible for the content of its listings and for its conduct towards clients and other Members, and indemnifies Vesteri against third-party claims arising from that conduct.
§ 11. Final provisions

2. Disputes between Members are first submitted to free mediation conducted by Vesteri (up to 30 days). Disputes between a Member and Vesteri are first addressed amicably within 30 days of notification.
3. These Rules are governed by Polish law. The competent court is the common court with jurisdiction over the Capital City of Warsaw.
4. These Rules are drawn up in Polish and English. In the event of discrepancies, the Polish version prevails.
5. A Member accepts these Rules when creating an account or before using Channels. Membership begins after account creation and acceptance of these Rules. Publishing listings requires separate account approval.
